Description

This service allows you to carry out a share transfer in Estonia through a notary — without needing to appear in person or use e-Residency tools. By using notarized Powers of Attorney (PoA), we coordinate the full process on your behalf, including communication with the notary, document translation, and registry filings.

 Best suited for:

  • Foreign founders or investors who cannot travel to Estonia
  • Shareholders and their spouses without Estonian ID or e-Residency cards, who are also unable or unwilling to travel to Estonia in person — if you can travel, our lower-cost “Share transfer via notary” service (in-person option) may be more cost-effective.
  • International M&A or restructuring transactions involving corporate shareholders

What’s Included:

  • Arranging a deal for one Seller natural person (including spouse power of attorney) and one Buyer natural person.
  • Consultation to confirm eligibility and transaction details
  • Coordination of a notary appointment in Estonia
  • Drafting of the sale-purchase agreement (via notary)
  • Preparation of up to 2 Power of Attorney documents (natural persons)
  • Legal representation before the notary based on PoA
  • Submission of changes (Shareholders and UBO) to the Business Register by the notary
  • Payment of notary fees on your behalf (deal value up to 10 000 EUR; for higher deal values, notary fees are billed separately)

🔖 Certified translation costs (if required) are not included.

Timing

  • Notary appointment booking: within 1-2 weeks after receiving all required documents in original
  • Registry update: within 5 business days of notary submission
  • Transaction terms: parties involved including spouses, % or number of shares, sale price, payment method
  • The client must notarize PoAs in their country and send the originals to us via courier or mail
  • For corporate shareholders - full set of notarized and apostilled corporate documents:
    • Articles of Association
    • Extract from business register
    • Documents confirming power of company representative

Additional shareholders and board members

  • each additional participant natural person (buyer or seller and spouse power of attorney) — €200
  • Each corporate shareholder involved in the transaction structure — €600
  • If the Seller or the Buyer is a corporate entity from the outset (not a natural person), the corporate shareholder fee above applies in place of that party's natural-person base slot

Additional compliance fees

Additional compliance fees may apply in the following cases:

  • If the foreign corporate shareholder is owned by one or more legal entities (multi-tier ownership structure), an additional compliance fee of €500 VAT will be charged for each additional legal entity in the ownership chain.
  • If the company's business activities fall under regulated, licensed, or high-risk sectors requiring enhanced due diligence, an additional compliance fee of €500 may apply.
  • If any shareholder, director, or ultimate beneficial owner is resident in, incorporated in, or otherwise connected to a high-risk or sanctioned jurisdiction, enhanced compliance measures may apply and an additional compliance fee of €500 may be charged.
  • If the foreign corporate founder has more than two board members (directors) and/or individual shareholders, an additional compliance fee of €200 will be charged for each additional person.

This remote, proxy-based process is designed for parties who cannot sign in person or via Estonian e-Residency/ID — offering the same legal certainty and registry outcome as a standard notarial transfer.

Please note: we commence any work only after full payment of the selected service package.

In the event that the share transfer cannot be completed due to objective circumstances beyond our reasonable control, including but not limited to negative compliance or KYC outcomes, notarial refusal, regulatory restrictions, or failure of third parties, a refund will be issued minus a non-refundable fee of €500.

Prices are exclusive of VAT. Estonian VAT (24%) applies depending on the client's tax residency and status (Estonia / EU business / non-EU) and is confirmed at invoicing.
