Description
This service allows shareholders with an e-Residency card or Estonian ID to complete a share transfer through the secure remote e-notary platform (or via an in-person notary meeting in Estonia). We manage the entire process — from planning and booking a notary appointment to document preparation and registry updates — ensuring everything is compliant with Estonian law.

What’s Included:
- Arranging a deal for one Seller natural person (including spouse power of attorney) and one Buyer natural person.
- Legal consultation and review of transaction structure
- Coordination and booking of a notary appointment
- Preparation of shareholder list and transfer details
- Coordination of the notary’s draft share purchase agreement
- Support during the notarization process (in-person or online)
- Submission of changes (Shareholders and UBO) to the Business Register by the notary
- Payment of notary fees on your behalf (deal value up to 10 000 EUR; for higher deal values, notary fees are billed separately)
- 🔖 Certified translation costs (if required) are not included.
Timing
- Notary booking: within 1–2 business days after receiving full details
- Signing process: typically completed within 1–2 weeks
- Registry update: usually within 5 business days of the notarial submission
- A valid Estonian ID or e-Residency card with working PINs and ID software (for remote signing)
- OR willingness to visit a notary in Tallinn for in-person signing
- Full deal details: parties (including spouses if applicable), ownership %, sale terms, and other conditions.
- If a spouse's consent is required but the spouse does not hold an Estonian ID or e-Residency card, a separate notarized Power of Attorney for that spouse can be arranged within this package — please flag this during the initial consultation

Additional shareholders and board members
- each additional participant natural person (buyer or seller and spouse power of attorney) — €200
- Each corporate shareholder involved in the transaction structure — €600
- If the Seller or the Buyer is a corporate entity from the outset (not a natural person), the corporate shareholder fee above applies in place of that party's natural-person base slot
Additional compliance fees
Additional compliance fees may apply in the following cases:
- If the foreign corporate shareholder is owned by one or more legal entities (multi-tier ownership structure), an additional compliance fee of €500 will be charged for each additional legal entity in the ownership chain.
- If the company’s business activities fall under regulated, licensed, or high-risk sectors requiring enhanced due diligence, an additional compliance fee of €500 may apply.
- If any shareholder, director, or ultimate beneficial owner is resident in, incorporated in, or otherwise connected to a high-risk or sanctioned jurisdiction, enhanced compliance measures may apply and an additional compliance fee of €500 may be charged.
- If the foreign corporate founder has more than two board members (directors) and/or individual shareholders, an additional compliance fee of €200 will be charged for each additional person.
Please note: we commence any work only after full payment of the selected service package.
In the event that the share transfer cannot be completed due to objective circumstances beyond our reasonable control, including but not limited to negative compliance or KYC outcomes, notarial refusal, regulatory restrictions, or failure of third parties, a refund will be issued minus a non-refundable fee of €500.
Prices are exclusive of VAT. Estonian VAT (24%) applies depending on the client's tax residency and status (Estonia / EU business / non-EU) and is confirmed at invoicing.
Certified translation costs (if required) are not included unless explicitly stated otherwise.
