Description

This service allows you to carry out a share transfer in Estonia through a notary — without needing to appear in person or use e-Residency tools. By using notarized Powers of Attorney (PoA), we coordinate the full process on your behalf, including communication with the notary, document translation, and registry filings.

 

Best suited for:

  • Foreign founders or investors who cannot travel to Estonia
  • Shareholders and their spouses without Estonian ID or e-Residency cards
  • International M&A or restructuring transactions involving corporate shareholders

What’s Included:

  • Arranging a deal for one Seller natural person (including spouse power of attorney)  and one Buyer natural person. Extra cost:
    • 🔖  for each additional participant natural person (buyer or seller and spouse power of attorney) = +€200
    • 🔖  for each corporate participant = +€600
  • Consultation to confirm eligibility and transaction details
  • Coordination of a notary appointment in Estonia
  • Drafting of the sale-purchase agreement (via notary)
  • Preparation of to 2 Power of Attorney documents (natural persons)
  • Legal representation before the notary based on PoA
  • Submission of changes (Shareholders and UBO) to the Business Register by the notary
  • Payment of notary fees on your behalf (deal value up to 10 000 EUR)

🔖 Certified translation costs (if required) are not included.

Timing

  • Notary appointment booking: within 1-2 weeks after receiving all required documents in original
  • Registry update: within 5 business days of notary submission
  • Transaction terms: parties involved including spouses, % or number of shares, sale price, payment method
  • The client must notarize PoAs in their country and send the originals to us via courier or mail
  • For corporate shareholders - full set of notarized and apostilled corporate documents:
    • Articles of Association
    • Extract from business register
    • Documents confirming power of company representative
