CFCs in Ukraine: What you need to know about controlled foreign companies and how we can help<\/b><\/span><\/h1>\n

Who is recognized as a CFC controller?<\/b><\/span><\/h2>\n

Tax residents of Ukraine are required to submit reports on controlled foreign companies (CFCs) if at least one of the following conditions is met:<\/span><\/p>\n

    \n
  • Direct or indirect ownership of shares<\/b>:<\/span>\n
      \n
    • more than <\/span>50% <\/b>in a foreign company;<\/span><\/li>\n
    • more than 10%, if the total share of all residents of Ukraine is \u2265 50%.<\/span>
      \n<\/span>In case of indirect ownership, the calculation is carried out by adding up the shares along the chain.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n
        \n
      • Actual control<\/b>, even without formal ownership:<\/span>\n
          \n
        • issuing mandatory instructions to the governing bodies of the CFC;<\/span><\/li>\n
        • negotiating transactions and agreeing on their terms;<\/span>
          \n<\/span>availability of a power of attorney for significant transactions for a period of more than one year;<\/span><\/li>\n
        • management of CFC bank accounts or the ability to block transactions;<\/span><\/li>\n
        • indication of a person as a beneficiary when opening accounts.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n

          Persons who act solely as employees or professional consultants (lawyers, accountants) are not considered controllers, even if they formally have signs of control.<\/span><\/p>\n

           <\/p>\n

          Main responsibilities of a CFC controller<\/b><\/span><\/h2>\n

          Each controller is obliged to:<\/span><\/p>\n

            \n
          • submit a notification of the presence of a CFC<\/b>;<\/span><\/li>\n
          • present a <\/span>CFC report <\/b>together with the individual’s income tax return;<\/span><\/li>\n
          • pay tax on the undistributed profits of the CFC, if no exemption applies.<\/span><\/li>\n<\/ul>\n

             <\/p>\n

            Benefits and exemptions<\/b><\/span><\/h2>\n

            The adjusted profit of a CFC does not increase the tax burden if:<\/span><\/p>\n

              \n
            1. the total income of all CFCs of the controller is under <\/span>2 million euros<\/b>;<\/span><\/li>\n
            2. CFC is a <\/span>public company <\/b>(shares are admitted to stock exchange listing);<\/span><\/li>\n
            3. CFC has the status of a <\/span>charitable organization<\/b>.<\/span><\/li>\n<\/ol>\n

              Also, profit is not subject to additional taxation if:<\/span><\/p>\n

                \n
              • there is a double taxation avoidance agreement in force between Ukraine and the country of registration of the CFC, and<\/span><\/li>\n
              • one of the conditions is met:<\/span>\n
                  \n
                • CFC pays tax at an effective rate of \u2265 13%;<\/span><\/li>\n
                • the share of passive income is \u2264 50% (important: substance requirements are taken into account for recognizing income as active).<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n

                   <\/p>\n

                  Taxation of CFC profits<\/b><\/span><\/h2>\n

                  Tax rates depend on the timing of profit distribution:<\/span><\/p>\n

                    \n
                  • 18% <\/b>— when distributed after the end of the second calendar year following the reporting year;<\/span><\/li>\n
                  • 18% <\/b>— if distributed before this date, but with recalculation at a rate of 9% through an amended declaration;<\/span><\/li>\n
                  • 9% <\/b>— if the profit is distributed before filing the CFC report.<\/span><\/li>\n<\/ul>\n

                    The controller may refuse the benefit and choose taxation under the CFC rules, which is sometimes more economically advantageous.<\/span><\/p>\n

                    Report submission deadline: <\/span>before May 1 of the year following the reporting year <\/b>(e.g., for 2025 — by April 30, 2026). Mandatory appendix — company financial statements.<\/span><\/p>\n

                     <\/p>\n

                    Audit report and checks<\/b><\/span><\/h2>\n

                    If the tax authority has doubts about the accuracy of a CFC’s reporting, it has the right to request a written report from a foreign audit firm. This is possible no earlier than 15 months after the reporting period.<\/span><\/p>\n

                    Requirements:<\/span><\/p>\n

                      \n
                    • the report must be prepared by an audit firm authorized in the relevant jurisdiction;<\/span><\/li>\n
                    • it cannot contain a negative conclusion or refusal;<\/span><\/li>\n
                    • during an audit, the auditor is required to provide copies of the CFC’s primary documents upon request (within one month). Translation of the documents into Ukrainian is not required.<\/span><\/li>\n<\/ul>\n

                       <\/p>\n

                      Responsibility and fines<\/b><\/span><\/h2>\n

                      Significant penalties are imposed for violation of the CFC legislation — from <\/span>7,000 to 65,000 euros. <\/b>Their application will begin in <\/span>6 months after the end of martial law<\/b>.<\/span><\/p>\n

                       <\/p>\n
